1. Scope, contracting parties

These terms govern all contracts for the services "Virtual Business Address", "Registered Office", and "Office Rental" between neonotu GmbH, Edelsbergstraße 8, 80686 Munich, Germany [PLEASE VERIFY/COMPLETE] (the "Provider") and its customers. The services are offered exclusively to businesses (entrepreneurs within the meaning of Section 14 German Civil Code); contracts with consumers are excluded.

2. Conclusion of contract

The presentation of services on the website does not constitute a binding offer. By submitting the online order form, the customer makes a binding offer. The contract is concluded only upon the Provider's order confirmation in text form. The Provider may decline acceptance, in particular where statutory customer identification (including under the German Anti-Money Laundering Act) cannot be completed. The customer must provide truthful information and suitable verification documents.

3. Services

(a) Virtual Business Address: use of the address as a correspondence address; mail acceptance and, depending on the plan, scanning or forwarding. (b) Registered Office: use of the address as a legal business address including nameplate, full mail service, and the agreed meeting-room allowance; registrability is decided by the competent authorities and is not warranted by the Provider. (c) Office Rental: provision of a furnished office subject to availability, including the ancillary services stated in the respective offer.

4. Prices and payment

Prices shown at the time of ordering apply, plus statutory VAT. Fees are due monthly or annually in advance, depending on the chosen payment plan; the stated discount applies to annual plans. Payment is made by bank transfer upon invoice (payable within 7 days) or by SEPA core direct debit under a mandate granted by the customer (pre-notification period reduced to 3 days). In the event of default, the Provider may suspend services after reminder and grace period and terminate for cause.

5. Term and termination

The contract runs for an indefinite term. Monthly plans may be terminated by either party with 14 days' notice to the end of a calendar month; annual plans with one month's notice to the end of the subscription year. Termination for good cause remains unaffected, in particular where the customer uses the address for unlawful purposes or has provided false identity information. Upon termination, the customer must promptly remove the address from all business use and arrange mail forwarding.

6. Customer obligations; mail service

The customer warrants the lawfulness of the business conducted via the address and must notify the Provider without delay of any changes to the information provided. The Provider accepts mail addressed to the customer's company name without inspecting its contents, except under the agreed scanning service (for which authority to open mail is granted). Uncollected items are retained for three months after contract end and then returned to sender or destroyed in compliance with data protection law.

7. Liability

The Provider is liable without limitation for intent, gross negligence, and injury to life, body, or health. In cases of slight negligence, liability exists only for breach of essential contractual obligations and is limited to the foreseeable damage typical for this type of contract; any further liability is excluded.

8. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Munich where the customer is a merchant, a legal entity under public law, or a special fund under public law. Should individual provisions be invalid, the remaining provisions remain unaffected.
